1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GTAUP ("GTAUP," "we," "us," or "our"). GTAUP operates the Service as a product brand; registered company details will be published in these Terms when incorporation is complete. By accessing or using the GTAUP website, applications, APIs, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.
If you do not agree with any part of these Terms, you must discontinue use of the Service immediately.
2. Service Description
GTAUP is a global cloud-based file hosting and sharing platform that enables users to upload, store, manage, and share digital files. The Service is built on Cloudflare R2 infrastructure and offers both free and paid subscription plans with varying storage limits, retention periods, and features.
Key capabilities include:
- File upload, storage, and sharing via generated download links (account required)
- Optional password protection for shared files (access gate; not end-to-end encryption)
- Files are stored with platform encryption at rest on Cloudflare R2 and served over HTTPS. We can access content for abuse handling and when legally required — we do not claim zero-knowledge or end-to-end encryption for hosted files.
- Temporary retention and Keep forever (no expiry while subscribed)
- Image tools (compression, conversion, cropping, resizing)
- Encrypted email aliases (GTAUP Mail)
- Encrypted notes
Guest (unauthenticated) uploads are not available during closed beta. Automated checks at upload are limited to magic-bytes validation and known-malware hash lookup (MalwareBazaar). We do not claim proactive AI scanning of all file content. Content decisions on reported files are made by humans under our Notice and Takedown process.
3. Eligibility
To use the Service, you must:
- Be at least 16 years old, or the minimum age required to enter into a binding agreement in your jurisdiction, whichever is higher;
- Have the legal capacity to accept these Terms;
- Not have been previously suspended or removed from the Service;
- Have a registered account (uploads require authentication during closed beta).
4. Account Registration and Security
Certain features require you to create an account. When registering, you agree to:
- Provide accurate, current, and complete information;
- Maintain the security and confidentiality of your login credentials;
- Promptly notify us at support@gtaup.com if you suspect unauthorized access to your account;
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.
5. User Content and Ownership
Your ownership.You retain all intellectual property rights to the files and content you upload to the Service ("User Content"). GTAUP does not claim any ownership rights over your User Content.
Limited license. By uploading User Content, you grant GTAUP a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, cache, and display your User Content solely as necessary to provide and improve the Service. This license terminates when you delete your User Content or close your account, subject to any reasonable backup or archival retention period.
Your responsibility. You represent and warrant that you own or have the necessary rights, licenses, and permissions to upload and share all User Content, and that your User Content does not infringe or violate the rights of any third party.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. You must not use the Service to:
- Upload, store, or distribute malware or other malicious code (
malware); - Infringe copyright or other intellectual property rights (
copyright); - Engage in phishing, social engineering, or fraud (
phishing); - Distribute unsolicited bulk or spam content (
spam); - Violate privacy or data-protection rights of others (
privacy); - Harass, threaten, or abuse others (
harassment); - Upload terrorism-related illegal content (
terrorism); - Share child sexual abuse material (CSAM) — any such content will be preserved and/or reported to competent authorities as required by law (
csam); - Upload other illegal content not covered above (
illegal_other); - Upload sexual content that violates these Terms (
tos_sexual); - Attempt to circumvent file size limits, upload quotas, rate limiting, or other technical restrictions;
- Use automated scripts, bots, or crawlers to access the Service without prior written permission;
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure;
- Resell, redistribute, or sublicense access to the Service without authorization;
- Impersonate any person or entity, or falsely claim an affiliation with any person or entity;
- Submit knowingly false or abusive notices (
other/ misuse).
We may disable access, delete objects, place a legal hold, or take other measures described in our Notice and Takedown policy. Automated checks (magic-bytes validation and known-malware hash lookup) run at upload; we do not claim proactive AI scanning of all file content.
7. Subscription Plans and Billing
GTAUP offers free and paid subscription plans. Details of each plan, including storage limits, retention periods, and features, are described on our Pricing page.
- Free plan: Available indefinitely with no payment required. Subject to the limits outlined on the Pricing page.
- Paid plans: Billed on a monthly or annual cycle through our third-party payment processor (currently Lemonsqueezy). All fees are quoted in USD; localized pricing may be offered in selected markets.
- Auto-renewal: Paid subscriptions renew automatically at the end of each billing cycle unless canceled before the renewal date.
- Price changes:We may adjust pricing with at least 30 days' advance notice. Changes apply to the next billing cycle after the notice period.
- Refunds: Refund eligibility is determined according to the refund policy of our payment processor and applicable consumer protection laws. Mandatory statutory refund rights in your country of residence (including under EU consumer law where it applies) are not affected by these Terms.
8. File Retention and Deletion
Files uploaded to the Service are subject to the retention period associated with your plan tier. Key rules include:
- Free-tier files are retained for 7 days by default.
- Paid plans offer longer temporary retention and Keep forever: no expiry date while your subscription is active (subject to plan quota).
- Upon subscription cancellation or expiry, a grace period applies. After the grace period, excess forever files are irreversibly deleted.
- Files under a legal hold are not deleted by our expiry cleanup until the hold is released (see Privacy Policy retention section).
GTAUP is not an archival service. You are solely responsible for maintaining your own backups. We strongly recommend keeping local copies of any important files.
9. Intellectual Property
The Service, including its software, design, logos, user interface, branding, documentation, and all underlying technology, is owned by GTAUP and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract its source code, unless permitted by applicable law or expressly authorized by us in writing.
The GTAUP name, logo, and all related marks are trademarks of GTAUP. You may not use them without prior written consent.
10. Copyright and DMCA Notices
We respect intellectual property rights. If you believe that content hosted on the Service infringes your copyright, you may submit a takedown notice to abuse@gtaup.com containing:
- Identification of the copyrighted work you claim is infringed;
- The URL or other specific identification of the infringing material;
- Your name, address, email address, and telephone number;
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf;
- Your physical or electronic signature.
We will process valid notices under applicable copyright law, including the U.S. Digital Millennium Copyright Act (DMCA) and EU Directive 2019/790 where relevant, and other local copyright regimes that apply to the notice. Repeat infringers may have their accounts terminated.
11. Abuse Reporting and Notice-and-Action
Users and third parties may notify us of illegal or Terms-violating content through:
- The "Report" button on file download pages;
- Email to abuse@gtaup.com.
A useful notice should include: (a) a substantiated explanation of why the content is illegal or violates these Terms; (b) the exact URL or file identifier; (c) your name and email (except where identity may be omitted for child sexual abuse material reports); and (d) a good-faith statement that the information is accurate and complete.
Where you provide an email address, we send a confirmation of receipt without undue delay and later inform you of our decision on the noticed item. When we restrict access to a file, we provide the uploader a public reason for the decision where we have contact details and are not legally prohibited from doing so.
We process notices in a timely, diligent, non-arbitrary manner. Content decisions are made by humans. Target handling times:
- Critical (e.g. clear malware, CSAM, terrorism): same calendar day;
- Clear Terms violations: within 2 business days;
- Grey / incomplete notices: within 5–10 business days (we may ask for more information or dismiss).

12. Suspension and Termination
By us. We may suspend or terminate your account and access to the Service, with or without notice, if:
- You violate these Terms or any applicable law;
- Your use poses a security threat to the Service or other users;
- We are required to do so by law or a valid legal order;
- Your account has been inactive for an extended period;
- You fail to pay applicable fees.
By you. You may delete your account at any time through your account settings or by contacting us. Upon deletion, all your files and personal data will be permanently removed after any legally required retention period.
Effect. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability) shall survive.
13. Service Availability
We strive to provide uninterrupted access to the Service but cannot guarantee 100% availability. The Service may be temporarily unavailable due to:
- Scheduled or emergency maintenance;
- Software updates and deployments;
- Infrastructure outages beyond our control;
- Force majeure events.
We do not offer a formal Service Level Agreement (SLA) for free or standard paid plans. We will make commercially reasonable efforts to minimize downtime and will notify users of planned maintenance when practicable.
14. Third-Party Services
The Service may integrate with or link to third-party services, including but not limited to:
- Cloudflare — CDN, edge delivery, and R2 object storage;
- Supabase — Authentication and database;
- Lemonsqueezy — Payment processing;
- MalwareBazaar — Malware hash verification.
Your use of these third-party services is subject to their respective terms and privacy policies. GTAUP is not responsible for the practices, content, or availability of third-party services.
15. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GTAUP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free;
- Files will not be lost, corrupted, or damaged;
- The Service will meet your specific requirements;
- Malware hash lookups will detect every known threat.
Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable law, including mandatory consumer protection laws in your jurisdiction.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GTAUP, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise). Nothing in these Terms shall limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
17. Indemnification
You agree to indemnify, defend, and hold harmless GTAUP and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
18. Governing Law and Dispute Resolution
Until GTAUP's operating company is incorporated and these Terms are updated with that company's governing law and venue, these Terms are interpreted under generally accepted principles of international commercial contracts, without selecting a temporary national company seat. Nothing in this section overrides mandatory consumer, privacy, or other protections that apply to you by law in your country of residence.
Before filing a claim, please contact legal@gtaup.com so we can try to resolve the dispute. We do not assert an exclusive court venue while the operating company is not yet incorporated; after incorporation we will publish the company's jurisdiction and courts (or arbitration) here.
If you are a consumer in the European Union, you retain any mandatory rights under the consumer protection laws of your member state. You may also bring proceedings before the courts of the member state in which you reside. The European Commission's Online Dispute Resolution (ODR) platform is available at ec.europa.eu/consumers/odr.
19. Export Compliance and Sanctions
You agree to comply with all applicable export control laws and trade sanctions, including those of the European Union, the United Kingdom, and the United States. You may not use the Service in any country subject to a comprehensive embargo, or if you are on any restricted-party list maintained by relevant authorities.
20. Modifications to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page;
- Notify registered users by email and/or a prominent notice within the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and delete your account.
21. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
22. Entire Agreement
These Terms, together with the Privacy Policy and any plan-specific terms presented during subscription purchase, constitute the entire agreement between you and GTAUP regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether oral or written.
